Board Powers under Section 179

SyllabusMobilization of resources: banking, credit and financial markets

EconomyPublished 19 October 2026

Section 179 of the Companies Act, 2013 gives the Board of Directors authority to manage a company's affairs and exercise its corporate powers. This authority is not unlimited: it is subject to the Act, the company's constitutional documents, and matters reserved for shareholders in general meeting.

General vesting of management powers

Section 179(1) authorises the Board to exercise all powers and perform all acts that the company itself is authorised to exercise or perform. The Board therefore derives its management authority from law, rather than merely from instructions issued by individual shareholders.

  • The Board must comply with the Act, the company's memorandum and articles, and valid regulations made by the company in general meeting.
  • The Board cannot exercise powers that the Act, memorandum, articles or other applicable requirements reserve for the company in general meeting.
  • Under Section 179(2), a subsequent regulation made in general meeting cannot invalidate an earlier Board act that would otherwise have been valid.

Decisions requiring resolutions at Board meetings

Section 179(3) identifies powers that must be exercised through resolutions passed at Board meetings, subject to the permitted delegation of specified financial powers. These include the following decisions:

  • The Board may make calls on shareholders for unpaid share money and authorise a buy-back under Section 68.
  • It may issue securities, including debentures, whether within or outside India.
  • It may borrow money, invest company funds, and grant loans or give guarantees or security in respect of loans.
  • It must approve the financial statements and the Board's report.
  • It may diversify the company's business, approve amalgamation, merger or reconstruction, and take over another company or acquire a controlling or substantial stake in it.

Delegation and shareholder oversight

The Board may, by a resolution passed at a meeting, delegate its borrowing, investment and lending-related powers specified in Section 179(3)(d)-(f), subject to stated conditions.

  • Permitted delegates include a committee of directors, the managing director, the manager, another principal officer, or the principal officer of a branch office.
  • Section 179(4) preserves the right of the company in general meeting to impose restrictions and conditions on the Board's exercise of powers under this section.
  • Board approval does not replace any additional shareholder approval required by other applicable provisions of the Act.
