Terms of Service

Unless the context requires otherwise, the following terms shall have the meanings defined below:

• Content: Any media, including text, graphics, audio, video, pictures, information, or other materials.
• Company Content: All Content available on the Platform or third-party platforms that is owned by or licensed to us.
• Parties: Our employees, agents, third-party suppliers, licensors, and partners.
• Person: Any natural person, whether they are a registered User or not.
• Services: All tools and services provided to help users plan, evaluate, and refine their preparation for competitive examinations, and any other services that we may add, remove, or change. For the avoidance of doubt, the ability to access Content in any manner on the Platform or third-party platforms is part of the Services.
• User: A Person who has registered an account with us.
• User Content: Any Content that a User posts, uploads, publishes, submits, transmits, or includes within their account.

The Platform and Services are available to:

• Individuals who are at least 18 years of age.
• Individuals below 18 years of age, only where a parent or legal guardian has agreed to these Terms on their behalf and supervises their use of the Platform.
• Individuals legally competent to enter into binding contracts, or minors covered by the guardian consent above.
• Individuals whose registration and use of the Platform comply with all applicable laws.
• Individuals who have not been previously suspended from accessing the Platform.

By agreeing to these Terms, you represent that you have the legal capacity to enter into this agreement and that all information provided during registration is accurate. If you are under 18, we assume that you have obtained verifiable consent from a parent or legal guardian before providing any personal information. We are not liable for any loss, damage, or consequence arising from the misuse of our Platform by any Person, including minors. We reserve the right to deny access or suspend accounts if any representation is found to be false or if unauthorized activities occur under your account.

By using our Platform, you consent to the collection, use, processing, and sharing of your personal information in accordance with our Privacy Policy. You also consent to being contacted by us via call, email, or text message regarding the Services.

Certain Services may be subject to additional guidelines, policies, or terms (“Additional Terms”). These Additional Terms are incorporated into this agreement by reference. In the event of a conflict between these Terms and any Additional Terms, the more restrictive terms shall prevail. Non-compliance with these Terms or any Additional Terms may result in civil or criminal liability.

Certain features of the Platform are restricted to registered Users.

• Pricing: We will honor the prices displayed on the Platform at the time of your payment.
• Third-Party Login (3P Sites): You may register using a third-party site (e.g., Google). By doing so, you authorize us to access, store, and process your account information from that 3P Site as per our Privacy Policy. You represent that you own the 3P account and are responsible for adhering to that site's terms and privacy settings. We are not liable for any service disruptions caused by the 3P Site or any inaccuracies in the data they provide.
• Account Limits: You may only maintain one active account on our Platform. We reserve the right to suspend or terminate duplicate accounts or accounts containing fraudulent or incomplete information.

Users must comply with all applicable laws and regulations. You strictly agree not to:

• Violate any local, state, or national laws, or court orders, including tax regulations.
• Use automated scripts, bots, spiders, or scrapers to access or interact with the Platform.
• Misuse the Platform via viruses, denial-of-service attacks, or other disruptive methods.
• Infringe upon the intellectual property, privacy, or proprietary rights of Gyaanam or any third party.
• Use the Platform for unsolicited promotions, commercial purposes, or spam.
• Harass, stalk, or collect personally identifiable information about other Users.
• Impersonate any person or entity, or misrepresent your affiliation.
• Attempt to probe, scan, test vulnerabilities, or reverse-engineer any part of our systems or software.
• Bypass or disable any security measures implemented to protect the Platform.
• Recruit or solicit our Users or employees for competing services without prior written approval.

We reserve the right to investigate violations, disable access, remove content, or deactivate accounts at our sole discretion. To report misconduct, please contact us at support@gyaanam.in.

• Payments: You can only access a paid Content Service upon paying the full amount posted on the Platform for that Service. Unless explicitly stated, applicable taxes are not included in the displayed subscription or service price and will be collected at checkout.
• One-Time Passes: Paid access is sold as one-time, prepaid passes for a fixed period. Nothing renews automatically, and we never charge your linked card or account on our own. If we ever introduce recurring subscriptions, these Terms and the Refund Policy will be updated before they go on sale.
• Pricing Changes: Once paid in full, the price for that specific Service period is locked. Prices for future passes may change; a change never affects a pass you have already paid for.
• Refunds: Refunds are strictly governed by our specific Refund Policy. If a situation falls outside the Refund Policy, no refund will be issued.
• Non-Payment: A pass begins only after the full amount is received. If a payment fails or is reversed, the access that payment covered ends.
• End of a Pass: A pass runs to its own end date and stops on its own. There is nothing to cancel, and no prorated refunds are issued for unused time within a pass’s period.

All visual interfaces, graphics, design, computer code, software, Company Content, articles and analyses, question banks, quizzes, and similar elements (“Service Materials”) are the exclusive property of Gyaanam and its licensors, protected by Indian and international copyright, trademark, and intellectual property laws.

You are granted a non-exclusive, non-transferable, revocable license to access and use the Service Materials solely for personal, non-commercial purposes. You may not remove copyright notices, distribute, sell, lease, modify, or publicly display these materials without express written consent. If we expressly permit you to share any Service Materials, you must provide proper credit to our website.

By uploading or submitting User Content to the Platform, you grant us a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license to use, adapt, modify, distribute, publicly display, and broadcast that Content for the purpose of operating and promoting the Services. We do not claim ownership of your User Content, and you retain all rights to exploit it elsewhere. You guarantee that your User Content does not infringe upon any third-party rights or violate applicable laws.

The Platform may contain links to or utilize third-party services, including payment gateways and bank offers (“3P Services”). Your interaction with these 3P Services is solely at your own risk and is governed exclusively by the terms and conditions of those third parties.

These Terms remain in effect as long as you use the Platform. We may restrict, suspend, or terminate your account or access to specific Services at any time, with or without cause or notice. We are not liable to you or any third party for such restriction, suspension, or termination. Your sole remedy for any dissatisfaction with the Services or these Terms is to delete your account and cease using the Platform. Termination does not limit our rights and remedies regarding any breach of these Terms that occurred prior to termination.

We reserve the right to modify, add, or remove portions of these Terms at any time at our discretion. We encourage you to review these Terms periodically. Your continued use of the Platform after any changes are posted constitutes your binding acceptance of the updated Terms.

The Platform and Services are provided on an “as is,” “as available,” and “with all faults” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Platform will be uninterrupted, error-free, secure, or free of viruses. Furthermore, you may be exposed to User Content from a variety of sources, and we are not responsible for its accuracy, usefulness, or intellectual property rights.

Under no circumstances shall Gyaanam or its Parties be liable for any indirect, incidental, special, consequential, or punitive damages (including without limitation loss of profits, data, or business) arising out of your use of the Platform or interactions with other Users. In no event shall our total liability to you for all damages exceed the total amount paid by you to us for accessing the particular Service in the twelve (12) months preceding the claim, or INR 10,000 (Ten Thousand Indian Rupees), whichever is greater.

You agree to indemnify, defend, and hold harmless Gyaanam and its Parties from any claims, losses, damages, liabilities, demands, settlements, or expenses (including legal fees) arising from:

• Your use or misuse of the Services.
• Your violation of these Terms.
• Your failure to comply with applicable laws.
• Any infringement of third-party intellectual property or privacy rights by your User Content.
• Disputes between you and other Users.

We reserve the right to assume the exclusive defense of any matter subject to indemnification by you at your expense, and you agree to cooperate with our defense.

We shall not be held liable for any delay or failure to perform our obligations caused by events beyond our reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, strikes, power outages, epidemics, or civil unrest.

These Terms shall be governed by and construed in accordance with the laws of India. You agree to submit to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan, India.

Any dispute or claim arising out of these Terms shall be settled by arbitration in India, before a sole arbitrator mutually appointed by you and Gyaanam. The arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996. The seat of the arbitration shall be Jaipur, Rajasthan, and all proceedings shall be conducted in English. The arbitrator's award shall be final and binding.

• Entire Agreement: These Terms, along with any applicable Additional Terms and our Privacy Policy, constitute the entire agreement between you and Gyaanam regarding your use of the Platform, including subscriptions to Content Services offered by us, superseding any prior oral or written agreements.
• No Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right. Any waiver must be in writing and signed by an authorized director of Gyaanam.
• Severability: If any provision of these Terms is deemed unlawful or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. However, we may assign these Terms and our obligations without restriction. Any assignment attempted in violation of this clause shall be null and void.
• Survival: Upon termination of your account, any clauses that by their nature should survive will remain in effect. This includes, but is not limited to, Section 3 (Compliance with Company Policies), Section 5 (User Conduct), Section 7 (Intellectual Property and Licenses), Section 11 (Disclaimers and Limitation of Liability), Section 12 (Indemnification), and Section 14 (Governing Law and Dispute Resolution).
